Stimmt's general terms and conditions are drafted strongly in their favor and impose significant restrictions on you as the client. You cannot suspend or offset payments, even if you are dissatisfied with the progress or quality of the work. It is also virtually impossible to terminate the collaboration prematurely without their consent, leaving you bound by their terms. Stimmt offers only a best-efforts obligation and no guarantee of results. This means that they do not have to prove that your goals have been achieved, but you are obliged to pay according to the agreed schedule. Moreover, unexpected additional costs may be passed on, leaving you with little control over the total project costs. Regarding complaints, the procedure is minimal. Although a Notice-and-Takedown procedure is included, for example, in practice Stimmt often remains the deciding party in disputes. This means that you are dependent on their interpretation and decision-making, which poses a risk if problems arise with the quality or execution of their services. An additional risk is that Stimmt may terminate the collaboration if you do not pay on time (regardless of the reason). In that case, their services will be suspended or terminated, and you will no longer have access to what has already been developed or delivered. This may mean that you receive nothing at all, even if you have already paid partially or in full. For example, if a dispute arises regarding an invoice, this can lead to the loss of access to your website or software. I strongly recommend thoroughly reviewing the terms and conditions and making clear agreements in advance regarding liability, warranties, complaint handling, and costs, so that you are not faced with any surprises. Discuss, for example, how complaints are resolved, how costs for additional work are charged, and how situations involving suspension or termination are handled.
